How to Prepare for Notary Day in Switzerland
Notary day is an important step when establishing a GmbH or AG in Switzerland. The incorporation must be publicly notarised before the company can be registered in the Commercial Register. Preparing the necessary documents and company details in advance can help avoid unnecessary delays.
At RB Swiss Group, we support entrepreneurs throughout the Swiss incorporation process.
Finalise the Company Details
Before the appointment, the essential elements of the company should be confirmed, including:
Company name and legal form
Registered office and business purpose
Share or nominal capital
Shareholders or quota holders
Directors and signatory rights
RB Swiss Group's company formation services can help coordinate these requirements. The official Swiss SME Portal also provides guidance on establishing a company in Switzerland.
Prepare the Share Capital
For a cash incorporation, the required capital is normally deposited into a capital contribution account before the notary appointment. A GmbH requires minimum capital of CHF 20,000, while an AG requires share capital of at least CHF 100,000, subject to the applicable minimum paid-in amount.
The bank confirmation should be available for the incorporation documents.
Check Documents and Representation
Confirm with the notary which identification documents, originals and supporting documents are required. International founders should check early whether foreign documents need additional certification.
The company's registered address and directors or managing directors should also be finalised. Swiss companies must comply with applicable representation requirements before registration.
After notarisation, the documents are submitted to the responsible Commercial Register. Once registration is completed, the company can proceed with banking, accounting, tax and other operational requirements.
Good preparation makes notary day a straightforward formal step rather than a source of delays.
